the following words and expressions shall havethe meanings assigned to them except where the context otherwise requires

the supervisor should havethe following rights within his scope of work it is hereby understood that anyand all of the following activities shall also be considered as the obligationof the supervisor who shall perform the following activities whenever it isneeded in order to ensure completion of the project in the best possible mannerand according to the relevant contractual documents and applicable laws

(6) conduct appropriate arrangement andcoordination with relevant organisations which can exert beneficial influenceto the development of the project for all such matters the supervisor shallfirst report to the client in advance and seek the authority of the client tomake such arrangements and coordination

(7) having obtained the consent of the clientthe supervisor has the right to give command with regards to commencementsuspension and resumption of the works but before doing so he shall report tothe client the client’s representativewill be available for contacting in phone to discuss emergency and other matters

(8) right and obligation to check and inspect thematerials to be used in the project and quality of construction and to advisethe contractor immediately of any nonconformities should the contractorcontinue to use the materials after the nonconformity has been identifiedthen the supervisor must advise the client that the contractor should stopusing them for materials components and parts equipment that are not in conformitywith the design requirements provisions of the construction contract andnational quality standards the supervisor has the right to notify the clientthat the contractor should stop using them for working sequence divisionaland subdivisional works that are not in conformity with relevant codes andquality standards and construction operations that pose safety concerns thesupervisor has the right to notify the client that the contractor should stop and make corrections or redo the worksthe contractor can resume construction only after he has received the workresumption command from the supervision team via the client

if circumstances arise which make it legally or physically impossible forthe supervisor to perform in whole or in part the services in accordance withthe contract he shall promptly dispatch a notice to the client the time forthe completion of the services shall be extended when the services are resumeda reasonable period not exceeding 42 days for resumption shall be added and theclient shall pay the supervisor as agreed between them

payment hereunder shall be made by confirmed irrevocable and transferable without recourse letter of credit in favour of the seller for the total contract value opened by a band acceptable to the seller permitting part shipments and transshipments in one or more vessels and available by______sight draft(s) against presentation of the shipping documents mentioned in clause 10the letter of credit shall reach the seller not less than______days prior to the start of the shipment period and remain valid for negotiation in china until the 15th day after the expiry of the shipment period

11．合完整性转：
complete contract and asignment：

终理解合修改补充合条款免均必须受约束方书面确认否效
the terms and conditions found within this contract constitute the complete and final understanding of the seller and the buyer (hereinafter the parties) with respect to the commodity referred to herein no modification extension or release from any provision hereof shall be effective unless the same shall be confirmed in writing by the party to be bound
（b）未卖方事先书面意合合项权益转
neither this contract nor and interest therein shall be assignable witout the prior written consent of the seller
12．担保：
warranty
卖方担保货物符合第条规定规格外性质陈述担保条件均予排消灭
the seller warrants that all commodity will conform to the description set out in clause 1 save as aforesaid all representations conditions and warranties of whatsoever nature are hereby excluded and extinguished
13．许证关税税收：
licensesduties and taxes
合规定外进口许许证属国家政府机构征收切进口税关税种税收均买方负担
except as otherwise provided herein all import permits and licenses and the import duties customs fees and all taxes levied by any government authority other than the seller ’s country shall be the sole responsibility of the buyer
14．抗力：
force majeure
果卖方遇力抗拒事件包括限火灾水灾震台风然灾害卖方合理控制意外事情况阻止妨碍干扰合履行时合规定卖方履约时间应动延长延长年时间应相力抗拒事件直接间接卖方履行合时间受抗力事件影响卖方应合理时间电报电传抗力事件发生通知买方__月关局出具关抗力事件证明航寄买方
果履约情况延续达___天双方应立协商修改合抗力事件发生日起___天双方事未取双方满意解决办法时方终止履行合未执行部分
the time for the performance of the seller’s obligations set forth in this contract shall be automatically extended for a period equal to the duration of any nonperformance arising derecly or indirectly from force majeure events including but not limited to fire flood earthquake typhoon natural catastrophe and all other contingencies and circumstances whatsoever beyond the seller’s reasonable control preventing hindering or interfering with the performance thereof the seller so prevented by force majeure shall in reasonable time inform the buyer by cable or telex of the occurrence of force majeure and within one month by air mail a relevant certificate issued by competent authorities as evidence thereof if the nonperformance lasts for more than ___ (___) days the parties shall immediately consult together in an effort to agree upon a revised contract basis if the parties are unable to arrive at a mutually satisfactory solution within _____(___) days from the beginning of such force majeure then either of the parties may terminate the contract in respect of the unexecuted portion of the contract

should the quality quantity and or specification of the commodity be found not in conformity with the description set out in clause one the seller agrees to examine any claim which shall be supported by a report issued by a reputable surveyor approved by the seller claims concerning quality shall be made in writing within ___months after the arrival of the goods at the port of destination l claims concerning quantity and ofr specification shall be made in writing within ______ days after the arrival of the goods at the port of destination in no event shall the seller be liable for lost profits delay injury to goodwill or any special or consequential damages howsoever any lr the same are caused
the seller ’ s liability for any and all losses of damages of whatsoever nature resulting from any cause whatsoever shall in no event exceed the portion of the total contract price attributable to commodity in respect of which the claim is made or at the election of the repair of replacement of such commodity
