1 truster may cancelany part of MTVa’s programmingor inform the trustee to take measures to prevent the distribution of concerned programming if truster believes such programming will infringe the rights and benefits of others
2 truster reserves all rights not specifically granted to the trustee concerning MTVa
3 the trustee agrees that the truster shall not be responsible for the losses due tothe violations of the agreement by the trusteethe benefits of the truster shall not be infringed
4 once executed this agreement shall not be terminated by the trustee during the term thereafter the trustee must inform the truster at least 90 days earlier provided the trustee needs to terminate this agreement
5 in accordance with the contract between citv and MTVa citv shall bethe exclusive agent responsible for the distribution of MTVa’s programming and the collection of relevant fees
6 this agreement and the additional terms shall be binding on both the truster and the trustee once it is executed
7trustee guarantees the securing by the trustee ofall necessary rights licenses and approvals prior to the reception and exhibition of the MTVa’s programming

1 authorized party shall exhibit ngc’s program service known as ngcvia the closed
circuit television system at the authorized premises in its entirety including without limitation all advertising and promotion material copyright notices credits and billings as and when transmitted by ngc without alteration or amendment other than deletions made to ensure that ngc complies with all applicable prc laws and regulations ngc retains all rights for use in all media authorized party shall not exhibit or authorize any other party to exhibit ngc anywhere other than at the authorized premises or via any media other than closed circuit television
2ngc and authorizing party shall not be responsible for any delays preemptions or other
failure toprovide ngc where such delays preemptions or failures are due to any cause(s) beyond the control of ngc andor authorizing party authorized party shall indemnify and hold ngc and authorizing party harmless against any claims liabilities costs and expenses arising out of any breach by authorized party of this agreement 3ngc may terminate this agreement effective at any time by giving authorized party 30
days’ prior written notice ngc may terminate this agreement effective at any time by giving the authorized party at least 7 days’ prior written notice if the authorized party has breached this agreement and such breach (which shall be specified in such notice) is not cured within 7 days of such notice this agreement shall automatically terminate on the termination or expiration of the agreement between ngc and the authorizing party 4payment by authorized party of the amount specified above shall be made without any
deduction withholding or setoff whatsoever upon signing this agreement authorized party shall be responsible for the payment of all taxes imposed by the prc or any political subdivision thereof in relation to this agreement or the exhibition of nbc by authorized party as well as any other applicable duties or charges related thereto
5authorized party may not assign any rights or obligations under this agreement without the
prior written consent of ngc and the authorizing party

1 authorized party shall exhibit ngc’s program service known as ngcvia the closed
circuit television system at the authorized premises in its entirety including without limitation all advertising and promotion material copyright notices credits and billings as and when transmitted by ngc without alteration or amendment other than deletions made to ensure that ngc complies with all applicable prc laws and regulations ngc retains all rights for use in all media authorized party shall not exhibit or authorize any other party to exhibit ngc anywhere other than at the authorized premises or via any media other than closed circuit television
2ngc and authorizing party shall not be responsible for any delays preemptions or other
failure toprovide ngc where such delays preemptions or failures are due to any cause(s) beyond the control of ngc andor authorizing party authorized party shall indemnify and hold ngc and authorizing party harmless against any claims liabilities costs and expenses arising out of any breach by authorized party of this agreement 3ngc may terminate this agreement effective at any time by giving authorized party 30
days’ prior written notice ngc may terminate this agreement effective at any time by giving the authorized party at least 7 days’ prior written notice if the authorized party has breached this agreement and such breach (which shall be specified in such notice) is not cured within 7 days of such notice this agreement shall automatically terminate on the termination or expiration of the agreement between ngc and the authorizing party 4payment by authorized party of the amount specified above shall be made without any
deduction withholding or setoff whatsoever upon signing this agreement authorized party shall be responsible for the payment of all taxes imposed by the prc or any political subdivision thereof in relation to this agreement or the exhibition of nbc by authorized party as well as any other applicable duties or charges related thereto
5authorized party may not assign any rights or obligations under this agreement without the
prior written consent of ngc and the authorizing party
