51 Rights and Obligations of Party A
511 Party A shall provide necessary documents and information to Party B as Party of the bases of the Project design performed by Party B and shall assume the responsibility for their integrity and exactness
512 Party A shall pay Party B for the Project design in accordance with the Agreement If material modification is made by Party B according to the order of Party A which causes additional expense Party A shall pay Party B the additional incurred fees The amount of such additional fees shall be negotiated in good faith by both Parties
513 Party A shall check and accept the design documents in writing in time after receipt And Party A shall indicate its revise comments and time requirement
514 Party A assigns wayne as its Principal of the Project and Party B assigns Karl Princic as its Principal of the project may not change its Principal or main architect without 7day prior written notification to and written approval of Party A
515 Party A will arrange for communication between each design firm of the Parties and apply for the commissioning of the Project
516 If the parent company of Party A refuses to approve the design or the Project is suspended Party A shall pay Party B based on the amount of the design work performed by Party B and delivered to Party A in accordance with the relevant articles of this Agreement
517 If the schedule of the Project is delayed because of Party A the design work delivery date shall be postponed accordingly
52 乙方权利义务
521 乙方必须遵中国东莞市颁布关规范规定合约定容进行设计应设计服甲方项目景观设计总体构思设计程中必须加强甲方沟通协调乙方项目设计适性正确性济合理性负责
522 合生效起周乙方应甲方提交详细设计计划书包括设计进度设计师相关员配备情况设计员简历设计总负责办联系电话等报甲方备案乙方必须项目设计配备验丰富富创新精神设计师承担设计工作工程结束前乙方应保证该项目设计员稳定
518 Any and all intellectual property rights the amplification rights of such intellectual proprietary rights and their derivatives created by a Party or both Parties in relation to design and use of the design work shall be the sole and exclusive property of Party A Party B can publish or apply for awards as author in the study and research fields with prior approval of Party A With the agreement of Party B Party A has the right to use allow others to use modify or allow others to modify or transfer Party B’s design work to any third Party Party B shall not copy modify transfer use or provide the design work provided to Party A to any third Party to use in any way without prior written approval of Party A If Party B breaches this article Party A has the right to terminate the Agreement Upon termination of the Agreement Party B shall return all the fees paid by Party A and reimburse any and all costs and losses caused
52 Rights and Obligations of Party B
521 Party B shall perform the design in accordance with this Agreement and relevant rules and regulations in DongGuang City and assume responsibility for the feasibility exactness and rationality of the economy of the design works Party B shall use its best effort to make the design work in accordance with Party A’s general landscape concept To ensure accordance with the specifications Party B shall make sufficient communication with Party A
522 Within one week of executing this Agreement Party B shall deliver to Party A the detailed plan of design services including not limited to schedule list of principals of the Project main architects architects and other necessary persons involved resumes of those persons and contact telephone numbers Party B shall assign professional and experienced persons with highly creativity to perform the design and shall not change them during performance of the Agreement
523 设计程中乙方责应甲方求设计图纸进度情况作阐释交流参甲方组织景观方案汇报施工图纸会审确保终设计效果定期配合甲方确定关景观效果材料
524 设计程中需设计资料需甲方配合事项应时通知甲方甲方销售企划等部门外宣传需设计作诠释邀请乙方参讨时乙方协助义务
525 设计程中阶段性设计重问题乙方均应先送甲方审核方进行步设计类问题指涉总体布局重景观素确认调整涉工程量投资变化较调整等问题
526 乙方设计文件出现遗漏错误应条件修改补充乙方原造成设计返工造成费乙方理乙方原设计进度拖延设计错误甲方蒙受济时间质量损失乙方应予甲方赔偿损失赔偿甲方乙方支付中扣留
523 Party B shall communicate with Party A regarding Party A’s schedule requirements attend landscape scheme conferences or meetings review the construction drawings to insure the consistency of the final design work and periodically assist Party A in selecting main landscape decorations materials
524 Party B shall notify Party A in a timely fashion for any and all necessary assistance needed from Party A Party B shall assist Party A by explaining the design work upon the request of or as required by Party A
525 Without prior written approval of Party A Party B shall not start any additional design work phases including but not limited to confirmation or modification of the Project’s general layout or main landscape elements or material adjustment on the amount of the construction or investment Minor changes or problems with completed design work shall not preclude beginning a new or additional design phase
526 Party B shall correct and amend any and all errors or omissions of the design work at its own expense If Party B redoes the design work because of its own error or omission all additional fees incurred shall be assumed by Party B All costs and losses caused by delivery delay or errors or omissions in the design work shall be reimbursed by Party B or may be deducted from any payments due and payable to Party B

乙方必时聘请顾问进行设计指导工作费乙方决定设计费中分摊支付设计成果统乙方甲方负责未甲方书面许乙方转委托甲方工作需行聘请建议聘请专业顾问费甲方决定甲方支付
529 乙方负责原定设计范围必修改设计包括调整设计补充设计乙方执行设 计务期间甲方较修改设计变更设计乙方行收费甲方重变更设计甲乙双方应立签订补充协议费计乙方应时安排变更设计影响工程施工进行（注：重变更设计指设计范围修改景观方案重调整造成乙方五工作日工作量）
5210 乙方解甲方合作程中获知悉关甲方信息包括项目信息技术图纸资料营信息力资源合涉设计研究容设计研究成果等等未公开信息甲方商业秘密应严守秘密性未甲方事先书面意乙方乙方商业秘密甲方提供乙方技术资料图纸等履行合外途乙方述保密义务期限乙方知悉该资料信息日起直公众通合法途径获知悉相关资料信息日止
527 Control of the costs
Party B shall use its best efforts to make all design concepts or scheme of the economically rationale otherwise Party B shall modify the design at Party A’s request
528 Appointment of counselor or request for assistance
Party B may appoint a counselor to assist in the Project design Any reasonable fees caused by such appointment shall be paid by Party A on the condition that Party B shall remain liable for the Design according to the Agreement Without prior written approval of Party A Party B shall not assign its obligations to any third Party If Party A appoints a counselor on benefit of itself Party A shall pay for such fees
529 Party B shall modify the design within the scope of this Agreement including but not limited to modification adjustment and amendment If the modification is minor the fees shall be included in the fees described in Article 6 if material modification is made because of Party A Party A shall pay for such services provided by Party B and both Parties shall negotiate to determine the amount of extra fees payable M Material modification means the changes in the design or adjustments of the landscaping scheme requiring Party B to spend five or more additional working days
5210 Confidential information shall mean (a) any information including but not limited to the information of the Project drawings management information personnel research development contents and design in relation to the Agreement disclosed to or learned by Party B pursuant to this Agreement Party B acknowledges that in the course of the performance of the Agreement it may obtain confidential information from Party A Party B will at all times both during the term of this Agreement and at all times thereafter keep in confidence and trust all of the Party A’s confidential information received by it Party B will not use the confidential information other than as necessary to perform its obligations or exercise its rights under this Agreement

5211 Party B warrants that the design work and the methods used to fulfill the design work do not infringe any third Party intellectual property right or other rights of any third Party If such infringement occurs Party A has the right to terminate the Agreement or request Party B to make alternative design Notwithstanding the foregoing Party A has the right to request Party B to reimburse Party A any and all costs and losses caused
5212 Party B warrants that the design works delivered by Party B do not breach any demands or targets of this Agreement relevant laws and regulations or architecture tradition If any such breach occurs Party B shall reimburse any and all costs and losses caused
5213 If Party B refuses to correct any defect of the design works Party A has the right to suspend the relevant payment until Party B corrects the defect

6Fees Payment and Delivery
61 Fees
The total fee for the Project is 25500000 which includes but is not limited to concept design design development construction documents review and constructive administration
611 The service fee is inclusive of a maximum of twenty twoday trips to Shenzhen or DongGuang in connection with this project including airfares
62chedule of the Design and Payment
All taxes and duties to be paid due to this service shall be borne by Party A Party shall pay Party B for its services in accordance with the following chart after receipting of the relevant invoice and acceptance of the design work

7：Liability for Breach
71 If the Agreement is terminated because of Party A Party A shall pay Party B for the work completed in accordance with the amount of the work If the Project is resumed the Parties can renegotiate the fees or sign a new Agreement If the Project is suspended or the parent company of Party A refuses to approve the Project Party A shall pay Party B for the work completed
72 If Party A delays the payment due to its own fault more than 60 days Party B has the right to suspend design work with a written notification to Party A
73 If Party B fails to fulfill this Agreement or this Agreement is terminated by Party A due to Party B’s default Party B shall pay Party A 10 of the total fees described in article 6 as compensation for breach of the Agreement If Party B has finished Party of the design work the Parties shall settle the payment and deal with the design work in accordance with article 832 if Party B does not start work Party B shall return to Party A all the fees paid by Party A

74 If Party B is unable to submit the design work on schedule a late fee equal to 003 percent of the fees for relevant phase of the design will incur for each day of the delay If such a delay is over 15 days Party A has the right to terminate the Agreement immediately and request Party B pay 10 percent of the total fees of the Agreement as compensation for breach of the Agreement
75 If the design work fails to meet the requirements of Party A Party B shall revise the design work within the period allowed by Party A If Party B fails to provide satisfactory the design work after two tries attempts Party A has the right to terminate the Agreement and Party B shall assume the liability stipulated in article 73
8：Execution and termination
81 This Agreement will take effect upon signing of the both Parties The date of last signature shall be taken as the date of effectiveness of the Agreement
82 Without prejudice any other applicable remedies under this Agreement and applicable laws Party A has the right to terminate this Agreement without any liability for the events as follows
821 Party B’s becoming insolvent filing a petition for relief under any bankruptcy insolvency or similar law
822 Party B’s displacing its assets or incapability to perform the Agreement
823 Party B’s breach of other obligations under this Agreement and failure to cure the breach within the limited period of Party A

832 If the Agreement is terminated due to Party B’s default or the design work has been paid for by Party A Party A has the entire ownership and intellectual property rights of the design work submitted to Party A
9：Miscellaneous
91 The Parties guarantee that they have full power and authority to enter into this Agreement and to carry out their obligations under this Agreement
92 Entire Agreement：This Agreement together with its attached exhibits is the entire understanding between the Parties on this Project design and merges all prior discussions negotiations and agreements between them whether oral or written express or implied No alterations or modifications of this Agreement shall be binding upon either Party unless made in writing and signed by an authorized representative of each
93 The nonperformance or delay in performance by either Party of any obligation under the Agreement shall be excused if and to the extent that such nonperformance delay or responsibility is caused by an event of Force Majeure Upon the occurrence of any event of Force Majeure the Party suffering therefore shall immediately give the other Party written notice thereof including a statement describing the event of Force Majeure and its effect upon the performance of the Agreement The suffering Party can terminate the Agreement by 15day prior notification of the other Party in writing without any liability The Force Majeure includes orders of the government policy and regulations of PRC war and natural disaster (such as earthquake and flood)

96 纠纷解决：合履行程中发生纠纷甲方乙方应协商解决协商成时中国境甲方辖权民法院提起诉讼遵守根中国法律做出裁决
94 If Party A terminates the Agreement due to Force Majeure all work completed by Party B and delivered to Party A shall be paid for in accordance with the Agreement Upon settlement of the relevant fees Party A has the ownership and intellectual property rights of the design work
95 Notice： Unless otherwise provided herein all notices or communications to be made and related to this Agreement must be sent by facsimile mail courier or email which takes effect when dispatched to the address listed below in this Agreement Notwithstanding the foregoing any notices or communications sent by express courier shall be effective on the date Part A’s receipt of dispatch
96 This Agreement shall be construed and governed by the law of the People’s Republic of China Any disputes concerning the construction or interpretation of this Agreement or a Party’s performance of its obligations hereunder which are not resolved through good faith consultation between the Parties may thereafter be submitted by either Party to the nonexclusive jurisdiction of the Shenzhen District Courts
97 Upon signature of both Parties the Parties agree to be bound by all the articles of the Agreement from the date of signature Furthermore such signature can be deemed as that each Party has the full power and authority to perform this Agreement

98 The documents provided by Party A in accordance with the Agreement have the same effect with the Agreement In the event that there are conflicts between the Agreement and the documents above the Agreement shall prevail
99 Should any other issues occur the two sides may enter into a supplementary agreement which shall be legally binding In the event that there is any conflict between the supplementary agreement and this Agreement the Agreement shall prevail
910 This Agreement is made in four copies each of which is original and equally authentic Each Party will preserve two copies
911 In the event of any difference in interpretation or understanding because of language the Chinese version of this agreement shall prevail

51 Rights and Obligations of Party A
511 Party A shall provide necessary documents and information to Party B as Party of the bases of the Project design performed by Party B and shall assume the responsibility for their integrity and exactness
512 Party A shall pay Party B for the Project design in accordance with the Agreement If material modification is made by Party B according to the order of Party A which causes additional expense Party A shall pay Party B the additional incurred fees The amount of such additional fees shall be negotiated in good faith by both Parties
513 Party A shall check and accept the design documents in writing in time after receipt And Party A shall indicate its revise comments and time requirement
514 Party A assigns wayne as its Principal of the Project and Party B assigns Karl Princic as its Principal of the project may not change its Principal or main architect without 7day prior written notification to and written approval of Party A
515 Party A will arrange for communication between each design firm of the Parties and apply for the commissioning of the Project
516 If the parent company of Party A refuses to approve the design or the Project is suspended Party A shall pay Party B based on the amount of the design work performed by Party B and delivered to Party A in accordance with the relevant articles of this Agreement
517 If the schedule of the Project is delayed because of Party A the design work delivery date shall be postponed accordingly
52 乙方权利义务
521 乙方必须遵中国东莞市颁布关规范规定合约定容进行设计应设计服甲方项目景观设计总体构思设计程中必须加强甲方沟通协调乙方项目设计适性正确性济合理性负责
522 合生效起周乙方应甲方提交详细设计计划书包括设计进度设计师相关员配备情况设计员简历设计总负责办联系电话等报甲方备案乙方必须项目设计配备验丰富富创新精神设计师承担设计工作工程结束前乙方应保证该项目设计员稳定
518 Any and all intellectual property rights the amplification rights of such intellectual proprietary rights and their derivatives created by a Party or both Parties in relation to design and use of the design work shall be the sole and exclusive property of Party A Party B can publish or apply for awards as author in the study and research fields with prior approval of Party A With the agreement of Party B Party A has the right to use allow others to use modify or allow others to modify or transfer Party B’s design work to any third Party Party B shall not copy modify transfer use or provide the design work provided to Party A to any third Party to use in any way without prior written approval of Party A If Party B breaches this article Party A has the right to terminate the Agreement Upon termination of the Agreement Party B shall return all the fees paid by Party A and reimburse any and all costs and losses caused
52 Rights and Obligations of Party B
521 Party B shall perform the design in accordance with this Agreement and relevant rules and regulations in DongGuang City and assume responsibility for the feasibility exactness and rationality of the economy of the design works Party B shall use its best effort to make the design work in accordance with Party A’s general landscape concept To ensure accordance with the specifications Party B shall make sufficient communication with Party A
522 Within one week of executing this Agreement Party B shall deliver to Party A the detailed plan of design services including not limited to schedule list of principals of the Project main architects architects and other necessary persons involved resumes of those persons and contact telephone numbers Party B shall assign professional and experienced persons with highly creativity to perform the design and shall not change them during performance of the Agreement
523 设计程中乙方责应甲方求设计图纸进度情况作阐释交流参甲方组织景观方案汇报施工图纸会审确保终设计效果定期配合甲方确定关景观效果材料
524 设计程中需设计资料需甲方配合事项应时通知甲方甲方销售企划等部门外宣传需设计作诠释邀请乙方参讨时乙方协助义务
525 设计程中阶段性设计重问题乙方均应先送甲方审核方进行步设计类问题指涉总体布局重景观素确认调整涉工程量投资变化较调整等问题
526 乙方设计文件出现遗漏错误应条件修改补充乙方原造成设计返工造成费乙方理乙方原设计进度拖延设计错误甲方蒙受济时间质量损失乙方应予甲方赔偿损失赔偿甲方乙方支付中扣留
523 Party B shall communicate with Party A regarding Party A’s schedule requirements attend landscape scheme conferences or meetings review the construction drawings to insure the consistency of the final design work and periodically assist Party A in selecting main landscape decorations materials
524 Party B shall notify Party A in a timely fashion for any and all necessary assistance needed from Party A Party B shall assist Party A by explaining the design work upon the request of or as required by Party A
525 Without prior written approval of Party A Party B shall not start any additional design work phases including but not limited to confirmation or modification of the Project’s general layout or main landscape elements or material adjustment on the amount of the construction or investment Minor changes or problems with completed design work shall not preclude beginning a new or additional design phase
526 Party B shall correct and amend any and all errors or omissions of the design work at its own expense If Party B redoes the design work because of its own error or omission all additional fees incurred shall be assumed by Party B All costs and losses caused by delivery delay or errors or omissions in the design work shall be reimbursed by Party B or may be deducted from any payments due and payable to Party B

529 乙方负责原定设计范围必修改设计包括调整设计补充设计乙方执行设 计务期间甲方较修改设计变更设计乙方行收费甲方重变更设计甲乙双方应立签订补充协议费计乙方应时安排变更设计影响工程施工进行（注：重变更设计指设计范围修改景观方案重调整造成乙方五工作日工作量）
5210 乙方解甲方合作程中获知悉关甲方信息包括项目信息技术图纸资料营信息力资源合涉设计研究容设计研究成果等等未公开信息甲方商业秘密应严守秘密性未甲方事先书面意乙方乙方商业秘密甲方提供乙方技术资料图纸等履行合外途乙方述保密义务期限乙方知悉该资料信息日起直公众通合法途径获知悉相关资料信息日止
527 Control of the costs
Party B shall use its best efforts to make all design concepts or scheme of the economically rationale otherwise Party B shall modify the design at Party A’s request
528 Appointment of counselor or request for assistance
Party B may appoint a counselor to assist in the Project design Any reasonable fees caused by such appointment shall be paid by Party A on the condition that Party B shall remain liable for the Design according to the Agreement Without prior written approval of Party A Party B shall not assign its obligations to any third Party If Party A appoints a counselor on benefit of itself Party A shall pay for such fees
529 Party B shall modify the design within the scope of this Agreement including but not limited to modification adjustment and amendment If the modification is minor the fees shall be included in the fees described in Article 6 if material modification is made because of Party A Party A shall pay for such services provided by Party B and both Parties shall negotiate to determine the amount of extra fees payable M Material modification means the changes in the design or adjustments of the landscaping scheme requiring Party B to spend five or more additional working days
5210 Confidential information shall mean (a) any information including but not limited to the information of the Project drawings management information personnel research development contents and design in relation to the Agreement disclosed to or learned by Party B pursuant to this Agreement Party B acknowledges that in the course of the performance of the Agreement it may obtain confidential information from Party A Party B will at all times both during the term of this Agreement and at all times thereafter keep in confidence and trust all of the Party A’s confidential information received by it Party B will not use the confidential information other than as necessary to perform its obligations or exercise its rights under this Agreement

5211 Party B warrants that the design work and the methods used to fulfill the design work do not infringe any third Party intellectual property right or other rights of any third Party If such infringement occurs Party A has the right to terminate the Agreement or request Party B to make alternative design Notwithstanding the foregoing Party A has the right to request Party B to reimburse Party A any and all costs and losses caused
5212 Party B warrants that the design works delivered by Party B do not breach any demands or targets of this Agreement relevant laws and regulations or architecture tradition If any such breach occurs Party B shall reimburse any and all costs and losses caused
5213 If Party B refuses to correct any defect of the design works Party A has the right to suspend the relevant payment until Party B corrects the defect

The total fee for the Project is 25500000 which includes but is not limited to concept design design development construction documents review and constructive administration
611 The service fee is inclusive of a maximum of twenty twoday trips to Shenzhen or DongGuang in connection with this project including airfares

All taxes and duties to be paid due to this service shall be borne by Party A Party shall pay Party B for its services in accordance with the following chart after receipting of the relevant invoice and acceptance of the design work

7：Liability for Breach
71 If the Agreement is terminated because of Party A Party A shall pay Party B for the work completed in accordance with the amount of the work If the Project is resumed the Parties can renegotiate the fees or sign a new Agreement If the Project is suspended or the parent company of Party A refuses to approve the Project Party A shall pay Party B for the work completed
72 If Party A delays the payment due to its own fault more than 60 days Party B has the right to suspend design work with a written notification to Party A
73 If Party B fails to fulfill this Agreement or this Agreement is terminated by Party A due to Party B’s default Party B shall pay Party A 10 of the total fees described in article 6 as compensation for breach of the Agreement If Party B has finished Party of the design work the Parties shall settle the payment and deal with the design work in accordance with article 832 if Party B does not start work Party B shall return to Party A all the fees paid by Party A

75 If the design work fails to meet the requirements of Party A Party B shall revise the design work within the period allowed by Party A If Party B fails to provide satisfactory the design work after two tries attempts Party A has the right to terminate the Agreement and Party B shall assume the liability stipulated in article 73
8：Execution and termination
81 This Agreement will take effect upon signing of the both Parties The date of last signature shall be taken as the date of effectiveness of the Agreement
82 Without prejudice any other applicable remedies under this Agreement and applicable laws Party A has the right to terminate this Agreement without any liability for the events as follows
821 Party B’s becoming insolvent filing a petition for relief under any bankruptcy insolvency or similar law
822 Party B’s displacing its assets or incapability to perform the Agreement
823 Party B’s breach of other obligations under this Agreement and failure to cure the breach within the limited period of Party A

91 The Parties guarantee that they have full power and authority to enter into this Agreement and to carry out their obligations under this Agreement
92 Entire Agreement：This Agreement together with its attached exhibits is the entire understanding between the Parties on this Project design and merges all prior discussions negotiations and agreements between them whether oral or written express or implied No alterations or modifications of this Agreement shall be binding upon either Party unless made in writing and signed by an authorized representative of each
93 The nonperformance or delay in performance by either Party of any obligation under the Agreement shall be excused if and to the extent that such nonperformance delay or responsibility is caused by an event of Force Majeure Upon the occurrence of any event of Force Majeure the Party suffering therefore shall immediately give the other Party written notice thereof including a statement describing the event of Force Majeure and its effect upon the performance of the Agreement The suffering Party can terminate the Agreement by 15day prior notification of the other Party in writing without any liability The Force Majeure includes orders of the government policy and regulations of PRC war and natural disaster (such as earthquake and flood)

96 This Agreement shall be construed and governed by the law of the People’s Republic of China Any disputes concerning the construction or interpretation of this Agreement or a Party’s performance of its obligations hereunder which are not resolved through good faith consultation between the Parties may thereafter be submitted by either Party to the nonexclusive jurisdiction of the Shenzhen District Courts
97 Upon signature of both Parties the Parties agree to be bound by all the articles of the Agreement from the date of signature Furthermore such signature can be deemed as that each Party has the full power and authority to perform this Agreement
