买卖双方意成交列产品订立条款：
The undersigned Seller and Buyer have agreed to conclude the following transaction on terms and conditions as specified below
（1）货物名称规格

（5）产品质量求：质量标准标准FZT 610042006等品标准安全规范执行GB184012010国家纺织品基安全基数规范B类
（5）PRODUCT STANDARDQuality standard according to FZT 6010042006 first classsafety specification according to GB184012010(B class)
（6）装运条款：收定金45天发货允许求分批发货
（6）TIME OF SHIPMENTshipment in 45days upon receipt of depositor allow partial shipment as required
装运港口PORT OF SHIPMENT 目港 PORT OF DESTINATION
（7） 付款条件买方需 月 日前付30定金尾款必须船港前付清(LCDP港前银行兑付) 否买方承担1‰天罚息
（7）TERMS OF PAYMENT：The buyer should to pay 30 deposit before date the balance money should be paid before the ship reaches the destination port(Same as LC or DP)Otherwisethe buyer shall be charged an interest of 1‰ late fee per day on the delayed payment
（8） 保险 ：买方理
（8）INSURANCE：To be effected by the buyer
（9）备 注： REMARKS：
1买方须述规定时间（见第7款）履行合书否卖方权通知取消合书接受买方合执行全部部分遭受损失提出索赔货物滞港买方全责承担目港逾期清关提货责
1he Buyer shall execute this SC before the above stipulated time (See Article 7)failing which the Seller reserves the right to cancel this SC without further notice or to accept the whole or any unfulfilled part of this SC by the Buyeror to claim from the Buyer for losses resulting therefrom The Buyer shall be fully responsible for the demurrage and overdue customs clearance at the destination port if any
2数量品质异议出现数量品质符买方须分货物抵港15天提出索赔品质索赔买方需提供国际公证机构代表性代理签发检验证书检验费证书费买方承担
2QUANTITYQUALITY DISCREPANCYIn case of quantity or quality discrepancy claims should be lodged respectively by the Buyer within 15 days after the arrival of the goods at the port of destination In all cases claims must be accompanied by Survey Reports issued by International Public Surveyors or their agents All charges and costs of such survey and reports should be borne by the Buyer
3执行合发生合关切争议应双方通友协商解决果协商解决应提交卖方民法院诉讼解决
3All disputes arising in connection with this SC or the execution there of shall be settled by way of amicable negotiation In case no settlement can be reached the case should to be instituted legal proceeding in the buyer’s local people’s court
4合书述全部部分商品抗力原致履约延迟交货卖方概负责
4The Seller shall not be held liable for failure or delay in delivery of the entire lot or a portion of the goods under this SC in consequence of any force majeure incidents
5买方收合书请立签回两份约定邮件传真微信等签回买方合书异议应收五天提出否视买方已意接受合书规定项条款
5The Buyer is requested immediately after receipt of this SC to sign and return two copies of them or send back by emailfaxwechat etcObjection if any should be raised by the Buyer within five days after the receipt of this SCin the absence of which it is understood that the Buyer has accepted the terms and conditions of this SC
6合书卖方须法定代表授权委托代理授权范围签字加盖公司印章方卖方生效
6This SC is to be effective to the Seller on the condition that it is duly signed by the Sellers legal person or his authorized agent acting within the scope permitted and applied with the seal
（10）担保条款：担保卖方该合项货款担保买方没求付款需15天担保履约付款承担货款利息
（10）TERMS OF WARRANTYThe guarantor shall bear the guaranty responsibility of the buyer’s payment under this sc and undertake to make the payment within 15 days if the Buyer failed to pay the balance as required and bear the interest of delayed payment
